Terms and Conditions of Los Andes LLC. By engaging the services of Los Andes LLC, whether verbally, through written communication, or by making a payment to Los Andes LLC, the client expressly agrees to these Terms and Conditions. These Terms and Conditions govern the relationship between the client and Los Andes LLC and are legally binding, even in the absence of a signed contract.
1. Acceptance of Terms
The client acknowledges that by hiring the services of Los Andes LLC, either verbally, through electronic communication, or via payment, they accept these Terms and Conditions in full, without the requirement of a written or signed agreement.
2. Scope of Services
Los Andes LLC provides advertising services for the promotion and sale of tangible and intangible goods, such as real estate, vehicles, office equipment, and other products, as well as for the promotion of services across various industries. These services are conducted through social media platforms, websites, and other digital media.
3. Success-Based Commission
Los Andes LLC will collect a commission equivalent to 1% of the total value of the transaction facilitated through its advertising services, payable upon the successful completion of an agreement between the client and a third party.
4. Exception for Exclusive Agreements
In the event of an exclusive agreement signed between the client and Los Andes LLC, the terms outlined in the exclusive agreement will prevail over these general Terms and Conditions.
5. Additional Payments for Advertising Campaigns
Any additional payments made by the client for advertising campaigns, media purchases, or other forms of paid advertising are excluded from the 1% commission. These payments are the client’s sole responsibility and will be used exclusively for promotional or paid advertising efforts requested by the client.
6. Payment of Additional Advertising Costs
Any additional advertising or media services contracted by the client must be paid in full at the time of contracting or as otherwise agreed. These payments are separate from the 1% commission and remain payable regardless of whether the transaction with the third party is finalized.
7. Payment Terms for Commission
The client is required to pay the 1% commission no later than seven (7) calendar days after the successful conclusion of the transaction with the third party. Failure to comply with this deadline will result in a late fee of $30 USD per additional week, starting from the closing date until the commission is fully paid.
8. Client’s Responsibility for Payment Details
It is the client’s responsibility to contact Los Andes LLC to obtain the necessary details for payment, including payment methods, account numbers, or any other relevant information. Los Andes LLC is not liable for delays or non-payment resulting from the client’s failure to request such information in a timely manner.
9. Confidentiality
All confidential information provided by the client will be handled with the utmost care and will be used solely for the purposes of delivering the agreed-upon services.
10. Amendments to Terms and Conditions
Los Andes LLC reserves the right to amend these Terms and Conditions at any time. While efforts will be made to notify clients of changes, the client is responsible for reviewing these Terms and Conditions periodically. Any modifications will be considered accepted upon continued use of Los Andes LLC’s services.
11. Legal Applicability
These Terms and Conditions are governed by the laws of the State of Texas, and any disputes arising from or related to the services provided will be resolved under its jurisdiction.
12. Consequences of Non-Payment
In the event of non-payment, the client will be held responsible for all costs incurred by Los Andes LLC in the collection of overdue amounts. These costs include, but are not limited to:Court feesAttorney feesAdministrative expensesCompensation for time spent on collection effortsTravel expenses for visits made to the client’s address to recover the debt
13. Enforcement of Payments
Los Andes LLC will only collect the 1% commission upon the successful completion of a transaction facilitated with a third party. However, all advertising-related payments, including additional campaigns, must be paid in full even if no transaction with a third party is finalized.
